The “Admission Document” included in this area of the website www.wertherint.com (the “Admission Document“) concerns the admission to trading on ExtraMOT market – Professional Segment (ExtraMOT PRO), operated by Borsa Italiana S.p.A, of the notes issued by Werther International S.p.A. (the “Notes“). It has been prepared pursuant to the ExtraMOT PRO Issuers’ Regulations.

The Notes can only be subscribed for by qualified investors (investitori qualificati), pursuant to Article 100 of the Legislative Decree No. 58 of 24 February 1998, as amended (the “Financial Services Act“). Neither the Admission Document nor the transaction described therein can constitute and shall not be construed as a direct or indirect offer of, or invitation to subscriber or purchase, financial instruments in a regulated market as defined in the Financial Services Act, the CONSOB Regulation No. 11971 of 14 May 1999, as amended (the “Regulation No. 11971“) and the equivalent laws applicable in countries other than the Republic of Italy.

The publication of the Admission Document shall not, and has been not, authorized by CONSOB pursuant to Prospectus Directive 2003/71/EC, as amended or any other laws or regulation concerning the publication of prospectuses in accordance with Articles 94 and 113 od the Financial Services Act, including without limitation, the Regulation No. 11971.
